Matt Flynn has no incentive to resign with the Packers, none.
Packers should get a compensatory pick for him. The whole tag and trade worked with Corey Williams, but I just don't see it happening with Matt Flynn unless as I said previously... a team approaches the Packers with an offer because they want to ensure they get Matt Flynn rather than risking getting into a bidding war over his services via free agency.

- Clearly other teams want Flynn and they want the lowest price.
- Ted wants more than a 3rd round compensatory pick in a year.
- Flynn's agent wants to maximize Flynn's next contract
- Draft pick(s) in addition to salary make Flynn more expensive.
- Tag and trade is technically illegal under CBA.
- Getting the cooperation of Flynn's agent is critical
Much depends on the reactions of other teams which will be learned at the Combine before the expiration of Flynn's contract in March.
Expect a lot of monkey business and bad rumors form Jets, Broncos, Dolphins, Redskins, Seahawks, Browns, Jaguars, maybe Eagles.
If the Packers do not push too hard and get something like a 2nd round pick
this year a deal could get done.
Pick #25 Cleveland's 2nd first round pick.
Pick #38 Redskins 2nd round pick.
Pick #70 and #108 or #119 Redskins #3 + a 4th(they have 2 4ths)
Pick #41 or #42 the Dolphins 2nd round pick.
Pick # 44 Seahawks 2nd round pick.
It only takes 2 to have a bidding war.
